Welcome to Weapon Sounds. The terms “we”, “us” and
“our” refer to Weapon Sounds LLC. We operate this store and website,
including all related information, content, features, tools, products and services
(the “Services”). Our store is powered by Shopify.

These terms and conditions, together with any policies referenced in them (these
“Terms of Service” or “Terms”) describe your rights and
responsibilities when you use the Services. Please read them carefully. They include
important information about your legal rights and cover areas such as licensing,
refunds, warranty disclaimers and limitations of liability.

By visiting, interacting with or using our Services, you agree to be bound by these
Terms of Service and our Privacy Policy (https://www.weaponsounds.com/pages/privacy-policy). If you do
not agree, you should not use or access the Services.

1. ACCESS AND ACCOUNT
---------------------

By agreeing to these Terms you represent that you are at least the age of majority in
your state, province or country of residence, and that you consent to any minor
dependents using the Services on devices you own or manage.

To use the Services you may be asked to provide information such as your email address
and billing details. You represent that everything you provide is correct, current and
complete, and that you have the rights necessary to provide it. You are solely
responsible for keeping your account credentials secure and for all activity on your
account. You may not transfer, sell, assign or license your account to anyone else.

ChamberVox uses a separate account at
app.weaponsounds.com (https://app.weaponsounds.com), and
these Terms apply to it as well.

2. OUR PRODUCTS
---------------

We sell digital products: sample packs, preset packs, vocal subscriptions and software.
We have made every effort to describe them accurately. Audio demos and product images
are representative; the way audio sounds on your system depends on your playback
equipment and settings. Product descriptions and contents are subject to change at any
time at our discretion, and we may discontinue any product at any time.

3. DIGITAL DELIVERY
-------------------

Nothing we sell ships physically. After a completed purchase you receive access to
download your files, normally immediately, by email and through your account. It is
your responsibility to download and back up your files. Download links may expire, so
retrieve your files promptly. If a link fails or a download is corrupt, contact us and
we will make it right.

You need your own compatible software to use what we sell. Sample and preset packs are
supplied as WAV audio and, where stated, presets for specific synthesisers. Serum
presets require a licensed copy of Serum, which we do not supply and are not affiliated
with. ChamberVox requires a DAW that hosts VST3 or AU plugins, and an internet
connection to generate audio.

4. ORDERS, PRICES AND BILLING
-----------------------------

We reserve the right to refuse or cancel any order. Prices are shown in US dollars and
may change at any time before you place an order. We reserve the right to correct
pricing or description errors, including after an order is placed, in which case we
will contact you and offer a corrected order or a full refund.

Any reference price shown alongside a current price is a manufacturer or list reference
for that product and is not necessarily a price at which the item previously sold. You
are charged the price displayed at checkout.

5. REFUNDS
----------

Because our products are digital and are delivered immediately, all sales are
final and we do not offer refunds or exchanges once a download has been accessed.
This is standard for downloadable audio, which cannot be returned once delivered.

We will always help where something has gone wrong. Contact us if:
- Your files are corrupt, incomplete, or will not download.
- You were charged more than once for the same product.
- The product materially differs from its description on the page.

If you are a consumer in the United Kingdom or European Economic Area, you normally
have a 14 day right to withdraw from a distance purchase. By completing a purchase of
digital content and accessing your download immediately, you request immediate
performance and acknowledge that you lose that right of withdrawal once the download
begins.

6. LICENCE TO USE OUR SOUNDS
----------------------------

When you buy a sample pack or preset pack, or receive audio through a subscription, we
grant you a worldwide, non-exclusive, non-transferable, perpetual licence to use those
sounds in your own musical productions. This licence is 100% royalty free: you
owe us nothing further, whatever your track earns.

You may:
- Use the sounds in commercial and non-commercial music you produce.
- Release that music on labels, streaming platforms, and physical formats.
- Perform it live and use it in DJ sets.
- Use it in sync placements such as film, television, games and advertising.
- Edit, chop, pitch, process and otherwise manipulate the sounds freely.

You may not:
- Redistribute, resell, share, lend or upload the files, in whole or in part, as sounds.
- Include them in another sample pack, preset pack, loop library, soundset or construction kit.
- Use them to train, fine-tune or otherwise develop a machine learning or generative audio model.
- Register the unaltered sounds with a content identification system, distributor, or performing rights organisation in a way that could claim rights over them or restrict other licensees.
- Claim authorship of the sounds themselves, as distinct from the music you make with them.

This licence is granted to one person or entity and is not sublicensable. We may
terminate it if you breach these Terms.

7. SUBSCRIPTIONS
----------------

We offer recurring subscriptions. By subscribing you authorise us and our payment
providers to charge your payment method on a recurring basis until you cancel.
- Vocal Vault is sold through our Shopify store and managed with Appstle. House Vault and Techno Vault are separate subscriptions.
- ChamberVox is sold and billed through Lemon Squeezy, which acts as merchant of record for that purchase. Lemon Squeezy’s terms also apply to that transaction.

Subscriptions renew automatically at the interval shown at checkout, monthly or
annually, at the then-current rate for your plan, until cancelled. You may cancel at
any time through your account or by contacting us. Cancellation stops future renewals;
it does not refund the period already paid for, and you keep access until the end of
your current billing period.

Where we advertise a promotional or introductory rate as locked for the life of a
subscription, that rate continues to apply for as long as the subscription remains
active and uninterrupted. If you cancel and resubscribe later, the rate then current
applies.

Files you downloaded during an active subscription remain licensed to you under section
6 after cancellation. Access to archives, member portals and unused allowances ends
when the subscription ends.

8. CHAMBERVOX
-------------

ChamberVox generates original vocal audio from text prompts you supply.
- Credits. Plans include a monthly credit allowance, which meters how much audio you generate. Credits included with a plan are for that billing period and do not roll over unless we state otherwise. Credits have no cash value and are not refundable or transferable.
- What you own. Audio generated for you is yours to use on the same royalty-free terms as section 6, including commercial release. The restrictions in section 6 apply equally: you may not redistribute generated audio as a sample pack or use it to train a model.
- Your prompts. You are responsible for the text you submit. Do not submit anything unlawful, or lyrics or other material you do not have the right to use. We may refuse or block requests that we reasonably believe breach these Terms.
- Take history. Recent takes are retained for a limited period so you can recover work, currently 30 days, after which they are removed. Download anything you want to keep.
- Beta. ChamberVox is offered in beta. Features may change, and we do not warrant uninterrupted availability, specific output quality, or that any particular result can be reproduced.

9. PROMOTIONS, DISCOUNTS AND FREE PRODUCTS
------------------------------------------

We run promotions from time to time, including discount codes, cart-value offers where
qualifying orders include a free product, prize codes from on-site promotions, and
giveaways run through advertising platforms.
- Offers are limited to one per customer unless stated otherwise, have no cash value, and cannot be exchanged for cash or credit.
- Codes may be limited in number and by date, and may stop working once a limit is reached.
- Where an offer includes a free product, we determine which item qualifies, based on the terms shown with the offer.
- We may withdraw or change any promotion at any time, and may cancel orders or codes we reasonably believe were obtained through abuse, automation, or misrepresentation.
- Entering a promotion may involve providing contact details. How we handle those is set out in our Privacy Policy (https://www.weaponsounds.com/pages/privacy-policy). Consent to marketing is never a condition of purchase.

10. INTELLECTUAL PROPERTY
-------------------------

All content on the Services, including the site itself, text, graphics, logos, audio
demos, software and their arrangement, is owned by us or our licensors and is protected
by intellectual property laws. Nothing in these Terms transfers ownership of it to you.
Your rights in the sounds are limited to the licence in section 6. The Weapon Sounds
name and marks may not be used without our written permission.

11. PROHIBITED USES
-------------------

You may not use the Services:
- For any unlawful purpose, or to solicit others to unlawful acts.
- To infringe our intellectual property rights or those of anyone else.
- To harass, abuse, insult, harm, defame, or discriminate.
- To submit false information, or to impersonate anyone.
- To upload or transmit viruses or any code that will affect the functionality of the Services.
- To scrape, spider, or harvest the Services, or to circumvent access or usage limits, including credit limits or download restrictions.
- To interfere with or circumvent the security features of the Services.

We may terminate your access for breach of this section.

12. THIRD-PARTY TOOLS AND LINKS
-------------------------------

We provide access to third-party tools on an “as is” and “as
available” basis, without warranties or endorsement. Your use of optional tools
is entirely at your own risk and you should review the relevant third party’s
terms. Links to third-party sites are not investigated or monitored by us and we are
not responsible for their content or accuracy.

13. RELATIONSHIP WITH SHOPIFY
-----------------------------

The Services are hosted by Shopify, which enables us to provide them to you. Shopify
may process personal information relating to your use of the Services as described in
our Privacy Policy (https://www.weaponsounds.com/pages/privacy-policy).

14. FEEDBACK
------------

If you send us ideas, suggestions or other feedback, we may use it without restriction
or compensation to you, and you agree we are under no obligation to keep it
confidential.

15. ERRORS, INACCURACIES AND OMISSIONS
--------------------------------------

Occasionally information on the Services may contain typographical errors,
inaccuracies, or omissions relating to product descriptions, pricing, promotions,
offers, or availability. We reserve the right to correct these and to change or update
information at any time without prior notice.

16. TERMINATION
---------------

These Terms are effective unless and until terminated by either you or us. You may
terminate by ceasing to use the Services and closing any accounts. We may terminate or
suspend your access at any time, without notice, if we reasonably believe you have
breached these Terms. Obligations and liabilities incurred before termination survive
it.

17. DISCLAIMER OF WARRANTIES

The Services and everything delivered through them are provided on an “as
is” and “as available” basis, without warranties of any kind, express
or implied, including implied warranties of merchantability, fitness for a particular
purpose, and non-infringement. We do not warrant that the Services will be
uninterrupted, secure, or error-free, that results will meet your expectations, or that
any errors will be corrected. Some jurisdictions do not allow the exclusion of certain
warranties, so some of these exclusions may not apply to you.

18. LIMITATION OF LIABILITY
---------------------------

To the maximum extent permitted by law, in no event shall Weapon Sounds LLC, its
members, employees or suppliers be liable for any indirect, incidental, special,
consequential or punitive damages, including lost profits, lost revenue, lost data, or
loss of goodwill, arising from your use of the Services. Our total liability for any
claim relating to the Services shall not exceed the amount you paid us in the twelve
months preceding the claim. Some jurisdictions do not allow these limitations, so they
may not apply to you in full. Nothing in these Terms excludes liability that cannot
lawfully be excluded.

19. INDEMNIFICATION

You agree to indemnify and hold harmless Weapon Sounds LLC and its members, employees
and suppliers from any claim or demand, including reasonable legal fees, arising from
your breach of these Terms or your violation of any law or the rights of a third party.

20. GENERAL
-----------
- Severability. If any provision is found unlawful or unenforceable, it is severable and does not affect the remaining provisions.
- Waiver. Our failure to enforce any right or provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them without restriction.
- Headings. Headings are for convenience only and do not affect interpretation.
- Entire agreement. These Terms and any policies referenced in them are the entire agreement between us regarding the Services.

21. GOVERNING LAW

These Terms of Service, and any separate agreements under which we provide you
Services, are governed by and construed in accordance with the laws of the State of
California, without regard to its conflict of law rules. You and Weapon Sounds LLC
consent to the exclusive venue and personal jurisdiction of the state and federal
courts located in Los Angeles County, California. If you are a consumer resident
elsewhere, this does not deprive you of the protection of the mandatory laws of your
country of residence.

22. CHANGES TO THESE TERMS

You can review the most current version of these Terms at any time on this page. We
reserve the right to update, change or replace any part of them by posting the update
here. We will notify you of material changes in accordance with applicable law. Your
continued use of the Services after a change constitutes acceptance of it.
